How buyers actually price an advisory practice

There is a persistent myth that advisory practices sell for “two times revenue.” It is a useful shorthand and a poor basis for a decision. Acquirers do not buy revenue — they buy the probability that revenue continues after you leave. Everything in the pricing model is a proxy for that one question.

Recurring revenue is the foundation

A book that bills a fee on assets each quarter behaves differently from one that depends on transactional income. Recurring revenue is predictable, transferable and financeable — which matters because most acquirers are borrowing against it. Published industry data puts recurring-revenue multiples across a broad band, roughly 1.6× to 4.4×, and where a practice lands inside that band tracks closely with how much of its revenue genuinely recurs.

Growth is priced as forward evidence

A flat book and a growing book at identical revenue are not worth the same. Growth signals that the practice can still win relationships without the founder’s personal network doing all the work — which is precisely the risk a buyer is underwriting.

Client age is a duration question

An acquirer is buying a stream of future fees. A client base with a median age in the eighties implies a decumulation curve that shortens that stream considerably. It is not a comment on your clients; it is arithmetic about how long the revenue lasts.

Concentration is the quiet risk

If a large share of revenue sits with a handful of relationships, the practice carries binary risk a diversified book does not. Buyers price that discount consistently, and it is one of the few factors a seller can genuinely improve given a few years of runway.

Structure determines what you actually receive

Headline price and realised proceeds are different numbers. Most transitions blend cash at close with contingent consideration tied to retention over a defined period. A higher headline with heavy contingency can be worth less than a lower one paid mostly at close. When you compare offers, compare the structures — not the multiples.
